Update: Tribune to acquire Local TV for 2.75 billion

That, and KDVR can keep their distinctive look without being re-standardized back into the Fox O&O motif. That would have been awkward.

Big fan of their look, that would have been awkward. Watching WAGA in Atlanta recently, it's god-awful. The noises the wipes make are just plain weird.

Really excited for folks that work at LocalTV stations! Tribune will be a great momma and will (hopefully) let them keep their distinctive looks and feels. It's really cool to see Tribune coming to Alabama!

According to the KTVI application, Tribune can own both KTVI and KPLR because apparently, WPXS is considered part of the St. Louis market even though its city of license is in the Cape Girardeau, Mo market, and there wiil be eight unique station owners left in the market after the transaction. Also, despite KDNL being one of the weakest ABC affiliates, KPLR isn't ranked in the top four.

Tribune will also seek a failing station waiver to own KFSM and KXNW in the Fort Smith, Ark market.

I'm shocked about KPLR not being #4. CW's ratings must finally be having a negative affect on KPLR. Either that or they caught KDNL on a good month, because historically, KPLR has been 3rd and KDNL is 4th. Either way this works to Tribune's advantage.

Wonder when Nielson last measured audience share in St. Louis.

Local TV got approval for the failed station waiver. With the new ownership, Tribune basically wants to keep it a status quo. Sinclair had to reapply for that failed station waiver with WCWN with the Freedom acquisition. So this is nothing new.

I'm surprised they aren't calling the shell "Local TV" since they are using that name in a lot of the licensees. It seems they are trying to keep everything as orderly as possible and preserve the identities of the stations...

I'm just looking through - is this an outright purchase, or a merger of sorts? Will the current Local TV directors, such as Bobby Lawrence, be given spots with Tribune?

It appears to be an outright purchase.

Side deal in the works? So Dreamcatcher may be just a holding company? Key words: "after the acquisition closes"

That can't be good for WNEP and WTKR...they're better off selling the newspapers instead?

No, the story is about their sale to Dreamcatcher. They're just treating it like it isn't a shell of Tribune for some reason (probably because The Morning Call is a Tribune owned newspaper).

So I don't get it. Are they're clueless of the Dreamcatcher shell, or the spin-off of the paper business? Or are they're going to follow through with selling it to an outside source?

Yeah, they surely trying to.

Not sure, but it sounds like they are using Dreamcatcher as a holding company while they let an outside company purchase those two stations in a side deal.

...Finally, Tribune seeks a continuing failing station waiver in Eureka Springs, Arkansas and a continuing satellite television waiver in Ft. Collins, Colorado. (FCC statement)

So there is a mechanism of the "satellite television waiver" in play. But that seems like a formality.

There's also a spelling error in the table, in which KSTU becomes "KTSU".

Well, in a rarity, the FCC has docketed the sale.

This should be a formality, since there is nothing really objectionable in the deal - the TV conflicts becoming duopolies were already LMA partners so they are essentially status quo now. The newspapers in conflict are expected to be sold soon anyway.

I'm thinking the $2.7B price tag from Tribune was a safety valve since the expectations were around $2B or so, they were worried they would lose the stations (including their LMAs) to Sinclair (who almost certainly came in 2nd in the offer) so they got aggressive to keep it as it is now...

Tribune is having a "town hall" meeting for all the new stations today. Tribune is planning on creating its own daytime and access content for local stations too.

Are they going to sacrifice syndicated programming to do it like Scripps did?

That's the impression I got. They spent a solid chunk of the meeting hammering "we have to control our content."

Hopefully you won't have to sacrifice Wheel of Fortune after you snagged it away from KSHB.

The other syndicated programming that both KTVI and WDAF have are court shows so replacing those won't be a huge loss (minus Judge Judy which is probably a strong lead-in to both KTVI and WDAF's 5pm newscast).

I don't think it's going be like Scripps. Tribune actually has some expertise at creating and distributing oriignal content. Plus, they have access to talent in the major media centers (not like Scripps, which produces "The List" in Phoenix) so the product will look more professional.

That's a good point. I always loved the local content that WGN produces and think it's pretty high in quality.

It would be funny if they did. I would imagine that either a) KSHB would beg and plead with Scripps to bring it back or b) KCTV or KMBC, probably the former, would try to take it. That would screw things up royally, making an already strong station even stronger.
